NEW YORK, Oct 27 – Artificial intelligence developer Anthropic has publicly filed its Form S-1 prospectus with the US Securities and Exchange Commission (SEC) for an initial public offering (IPO) on Monday, October 26, 2026, setting the stage for what could become the largest stock market debut in financial history.
The maker of the Claude AI model intends to list its Class A common stock on the Nasdaq Global Select Market under the ticker symbol ANT, with public trading expected to commence in mid-November.
Existing shareholders and the company will offer shares in the IPO, led by underwriting giants Goldman Sachs and Morgan Stanley alongside a syndicate of 22 other investment firms.
Market analysts and investors speculate that Anthropic’s debut valuation could reach between US$1.5 trillion and US$2 trillion.
A valuation exceeding US$2 trillion would eclipse SpaceX’s US$1.77 trillion listing in June 2026, establishing a new record for global initial public offerings.
Financial Performance, Infrastructure Commitments, Governance, and Risk Factors
Key financial metrics, cloud compute obligations, dual-class governance structures, and existential risk warnings highlighted in the SEC filing include:
- Revenue Hypergrowth & Operating Profit: First-half 2026 revenue surged to US$16.29 billion, compared to US$1.16 billion in H1 2025. Second-quarter 2026 revenue reached US$11.56 billion, yielding the company’s first quarterly operating profit of US$974 million.
- Net Loss Accounting Breakdown: Anthropic reported an H1 2026 net loss of US$80.7 billion, driven primarily by US$72.4 billion in non-cash accounting charges from the revaluation of convertible notes as its valuation rose. Operating loss stood at US$693 million, while operating cash flow turned positive at US$3.93 billion.
- Massive Cloud Compute Commitments: Anthropic spent nearly US$9 billion on computing resources in H1 2026 and has committed US$518 billion toward future infrastructure, including at least US$110 billion with Amazon through 2036 and US$114.5 billion with Google through 2033.
- Enterprise Customer Concentration: Over 1,900 enterprise clients generate at least US$1 million each in trailing annual revenue. However, two unnamed customers accounted for 23 percent of overall revenue in H1 2026.
- Dual-Class Voting & Governance Controls: Public investors will possess limited voting influence. A single Class F share held by the seven co-founders retains 50.1 percent of total voting power, while a dedicated trust will elect a majority of the board.
- Existential Risk & Safety Warnings: The prospectus outlines unusual risk factors, warning that advanced AI could present “catastrophic or existential risks to humanity” and that potential liability from extreme harm could far exceed available insurance coverage.
